1. Introduction

1.1. Agreement

These terms and conditions ("Agreement") govern your (“You”/ “Your”) use of Outro’s website (www.outro.studio) as well as mobile applications and other associated platforms (“Platforms”). This website is owned and operated by Outro Private Limited. Throughout the site, the terms “we,” “us,” and “our” refer to Outro. By accessing or using the Platforms, you agree to be bound by these terms. If you disagree, please refrain from accessing or using the Platforms.

The Agreement provides the terms that govern your access to Outro and facilitates the sale and purchase of designer clothes and related products (“Products”) through the Platforms, as well as any other services provided by Outro (“Services”).

1.2. Acceptance of Terms

You understand and agree that this Agreement forms a binding contract between Outro and anyone who accesses, browses, or uses the Platforms (“User/s”). By using the Services, you agree to the terms of this Agreement without modification. Continued use of the Platforms constitutes acceptance of the latest version of the Agreement. Users are advised to read these terms carefully.

1.3. Scope

This Agreement applies to all Services provided by Outro via the Platforms.

1.4. Eligibility

Users must be at least 18 years old to use the Platforms. If a minor uses the Platforms, it is assumed that such use is under parental or legal guardian supervision. Any purchases made by minors shall be deemed valid and supervised by their guardians.

2. General Covenants for Users

All elements of the Services, including but not limited to text, graphics, images, logos, software, and designs (“Outro Content”), are the exclusive property of Outro and are protected under copyright and trademark laws. Users are prohibited from modifying, reproducing, or using Outro Content for personal gain or commercial purposes.

Outro grants users limited permission to view and use Outro Content solely for purposes such as identifying products, purchasing items, or processing returns in accordance with its policies. This access does not extend to activities like reselling products or creating derivative works.

2.3. Order Placement and Acceptance

The listing of Products serves as an invitation to offer. A User’s order constitutes an offer to purchase, subject to product availability and Outro’s acceptance. Outro reserves the right to accept or reject such offers.

2.4. Scope of Outro’s Liability

Outro’s responsibilities are limited to the terms of the Agreement. Outro is not liable for disputes involving third parties linked to the Services.

2.5. Responsibility for Communication Details

Users must update their registered contact details to ensure proper receipt of communications. Outro disclaims liability for missed notifications due to outdated information.

2.6. Updates and Modifications

Outro reserves the right to update or modify its services or terms without prior notice. These changes will take effect upon publication. Users are advised to review terms regularly.

2.7. Fee Structure

Access to the Platforms is currently free. Outro reserves the right to introduce fees for certain services or features in the future.

2.8. Service Limitations

The Services are provided “as is” and “as available” without any express or implied warranties. Outro does not guarantee:

  • Continuous availability of Services.
  • Completeness or accuracy of Platform content.
  • Suitability or merchantability of Products for specific purposes.

3. User Obligations and Conduct

3.1. Account Registration

Users may need to register and provide personal information. They must ensure the confidentiality of account credentials and notify Outro of unauthorized access.

3.2. Prohibited Activities

Users must not:

  • Submit harmful or offensive content.
  • Violate intellectual property rights.
  • Exploit minors or submit illegal content.
  • Attempt to reverse-engineer or disrupt the Platforms.

5. Disclaimer for Third-Party Designed Products

Outro acts as an intermediary for designer products created by independent third-party designers. Outro does not claim ownership of these designs and disclaims liability for any design-related disputes.

6. Products and Transactions

6.1. Display and Pricing

Products displayed are invitations to offer, subject to availability and price changes without notice.

6.2. Payment and Order Confirmation

Payment must be completed through authorized methods. Order confirmation occurs upon product dispatch.

6.3. Delivery and Shipping

Delivery timelines are estimates and may vary. Failure to collect orders may result in cancellation and partial refunds.

7. Privacy and Data Usage

Users are responsible for providing accurate data. Outro collects and processes data in line with its Privacy Policy.

8. Limitation of Liability

Outro disclaims all warranties and is not liable for technical issues or indirect damages.

9. Indemnity

Users agree to indemnify Outro against claims arising from breaches of the Agreement or misuse of the Platforms.

10. Termination

Outro may terminate access for violations. Users’ obligations before termination remain enforceable.

11. Governing Law and Dispute Resolution

This Agreement is governed by the laws of India. Disputes will be resolved through arbitration in Jaipur.

12. Amendments

Outro may amend the Agreement, effective immediately upon posting changes.

13. Miscellaneous

  • Force Majeure: Outro is not liable for delays caused by unforeseen events.
  • Severability: Invalid provisions do not affect enforceability of the remaining terms.
  • Entire Agreement: Supersedes all prior agreements.
